These are not the terms of service yet
The agreements that will govern this are being drafted with Japanese counsel and are not in force. Nothing on this page is a contract, a warranty, or a statement of anyone's legal obligations.
What is here is a description of how the arrangement is meant to work. Anything binding will be in a document you are asked to read and sign.
Keisho Scout is run by people, not by a listings board. Most of what matters is a decision somebody makes rather than a rule the software applies, so here is the shape of it.
The shape of the arrangement
- Free to list, free to browse
- Neither side pays to use the platform, and a sale you run yourself completes at no charge. Keisho is paid a fee on completion only where a seller has asked Keisho to represent them, and the amount will be in the agreement you sign before anything is published.
- Every listing is read before it is published
- Nothing goes public automatically. Someone here reads the whole listing, checks that you own the business, and speaks to you before it appears.
- You decide who learns who you are
- A buyer asking about your business does not get an answer from the software. We check them, and then you approve or decline that specific person by name.
- An approved buyer reaches the business, never you
- Once you have approved a particular buyer and they have signed the non-disclosure agreement, they can contact the business directly — its name, its address, and a business contact route. Your own name, email address and phone number are never given to a buyer, on any plan. If you would rather we screened buyers first and stayed the channel throughout, that is the Managed Sale plan.
- Acquire Scout is a separate product
- An account here is not an account there. Nothing you enter on Keisho Scout is shared with it.
The two documents that will actually bind anyone
Sellers sign a mandate agreement with Keisho (仲介契約) before Keisho tells any buyer anything real about the business. An anonymous listing can go live before that. It sets out what Keisho does for you, and what a completed sale costs if you ask Keisho to represent you.
Buyers sign a non-disclosure agreement with Keisho before they can learn who a seller is. It is bilingual, and the Japanese text governs.
